WAYLI — UAE EDITION
Effective as of January 15, 2026
These General Terms and Conditions (the "T&Cs") govern the contractual relationship between:
THE OPERATOR: E-NOVAI GROUP SARL, a limited liability company incorporated under Moroccan law, operating under the trade name WAYLI.
Registered Office: Bab Al Madina, Azzouzia, Marrakesh, Morocco.

Note: Although the Operator is based in Morocco, the Service is intended for the United Arab Emirates (UAE) market.
THE PARTNER: Any professional (restaurant, hotel, leisure venue) proceeding with the payment of a WAYLI Service.
(Collectively referred to as the "Parties").
“Invoice / Payment Page”: The document or web interface defining the specific conditions of the sale (Pack Type, Duration, Price). This document replaces any signed purchase order.
“Pack (Starter, Boost, Elite)”: The subscribed service level as indicated on the Invoice or web page.
“Go Live”: The actual publication of the Partner Profile on the WAYLI ecosystem.
“Dashboard / Reporting”: The digital interface provided to the Partner to consult performance statistics.
“Taste Graph™”: WAYLI's proprietary technology that analyzes user preferences.
The Contract is formed digitally. The act of payment (full or partial) of the invoice or the secure payment link sent by WAYLI constitutes:
Irrevocable and unconditional acceptance of these T&Cs;
Final conclusion of the contract between the Partner and the Operator.
The Partner acknowledges that no additional handwritten or electronic signature is required to engage its liability and validate its subscription.
WAYLI provides a conversational visibility and marketing intelligence service.
4.1. Go-Live Commitment (“48h Go Live” Offer): For packs including this option, this timeframe only begins upon WAYLI's complete and compliant receipt of all required assets (HD photos, menus, schedules, validated tags). Any delay by the Partner in submitting these assets suspends this timeframe.
4.2. Visibility and Priority (Boost & Elite): The “Priority” option mathematically increases the probability of the Partner appearing in recommendations. No absolute guarantee:The Partner acknowledges that WAYLI's AI always prioritizes relevance for the end user. If the user's request does not match the venue (e.g., requesting “Sushi” for a “Burger” restaurant), it will not be displayed, regardless of its Pack.
4.3. “Wayli Pick” Badge:Access to the badge is subject to a dual criteria: (1) Payment of the eligible Pack and (2) Maintenance of a quality standard. WAYLI reserves the editorial right to remove this badge in the event of a proven drop in quality (public rating < 4.0/5) or user complaints, without refund.
4.4. Dashboard and Reporting: Access to statistics is a feature reserved for Paid Packs. Free offers do not benefit from it. The depth of analysis varies depending on the subscribed Pack. This data is provided for indicative marketing management purposes and does not constitute accounting certification.
5.1. Accuracy: The Partner guarantees the accuracy of the information provided. WAYLI cannot be held responsible for user complaints related to incorrect information.
5.2. UAE Compliance: The Partner declares having all the licenses required by local authorities in Dubai and the UAE (DED, alcohol/tourism licenses, etc.).
5.3. Prohibition of Fraud: Attempting to manipulate the algorithm (e.g., fake reviews) is strictly prohibited. Any fraud will result in immediate termination.
5.4. Advertising & Media (UAE Media Council): The Partner acknowledges that paid services constitute digital advertising. It agrees that WAYLI may identify the content as “Sponsored” or “Ad” if required by regulations. The Partner commits to fully indemnify the Operator for any fine imposed by authorities due to non-compliant content provided by the Partner.
6.1. Price and Currency: The prices, duration, and type of Pack are those indicated on the Payment Page. They are denominated and payable primarily in United Arab Emirates Dirhams (AED) (or in USD depending on the payment interface). The Partner acknowledges that the Service is billed by an international entity. A Partner subject to VAT in the UAE is responsible for the Reverse Charge Mechanism, if applicable. The displayed prices are net for the Operator. Any potential bank or exchange fees are borne by the Partner.
6.2. Payment Methods & Merchant of Record: Payment is made exclusively via secure electronic means through our partner payment processor, Dodo Payments (or its affiliated companies).
Merchant of Record: Dodo Payments acts as the “Merchant of Record” for the collection of WAYLI transactions. As such, the name Dodo Payments (or Dodo* Wayli / Enovai Group) will appear on the Partner's bank statement.
By proceeding with the payment, the Partner de facto accepts the general terms of use of the Dodo Payments processor.
The Operator does not accept post-dated checks (PDCs), cash, or manual bank transfers, except by specific written agreement for Key Accounts.
6.3. Billing Cycle and Auto-Debit: The Service operates on a subscription basis with tacit renewal and automatic debit (Auto-debit).
Regular Debit: During the initial subscription, the Partner registers their credit card. On each anniversary date of the subscription (monthly or annual), the Pack amount is automatically debited by Dodo Payments to ensure service continuity and algorithm maintenance.
Management and Cancellation: The Partner may cancel the automatic renewal at any time via their dedicated space or by simple written request, prior to the date of the next cycle.
Payment Failure (Default): In the event of a debit failure, Dodo Payments will perform automatic recovery attempts (Dunning). In the absence of regularization within 3 days after the initial due date, Premium visibility is automatically suspended, and the Pack is downgraded, resulting in the loss of the “Top 3” placement and Dashboard access.
7.1. Partner Content: The Partner grants WAYLI a worldwide, royalty-free license to use its visuals, logos, and menus to promote the venue on the WAYLI ecosystem (WhatsApp, Social Networks, Website).
7.2. User Data: WAYLI is the sole owner of conversational data and the Taste Graph™ technology. The Partner only has access to aggregated and anonymized statistics provided in its Dashboard.
8.1. Cancellation and Refund Policy: The Partner is free to cancel their subscription renewal at any time. The cancellation will take effect at the end of the current billing cycle. Since the Services are immaterial and infrastructure costs (Setup, AI) are incurred upon subscription, any started or prepaid months are due in full and will not be subject to any pro-rata refund.
8.2. Cap: The total liability of the Operator is contractually capped at the amount indicated on the last invoice paid by the Partner. WAYLI does not guarantee any minimum revenue or guaranteed volume of physical customers.
9.1. Term: The duration of the contract corresponds to the billed period (Monthly or Annual) and renews by tacit agreement.
9.2. Termination: The Partner may terminate their subscription at any time for the following period. The contract ends at the conclusion of the current already-paid period.
Each Party commits to keeping strictly confidential the commercial, financial, and technical information exchanged. This obligation survives for two (2) years after the end of the contract.
Neither Party shall be held liable for a breach due to a Force Majeure event (including widespread internet outages, WhatsApp blocking by authorities, natural disasters). As the Operator is dependent on Meta's APIs, a global WhatsApp outage constitutes a Force Majeure event giving no right to compensation.
12.1. Independence: The Parties are independent contractors with no relationship of subordination.
12.2. Non-Waiver: Failure to enforce a breach does not constitute a waiver for the future.
12.3. Severability: If any clause is deemed invalid by a court, the other clauses remain fully in force.
13.1. Applicable Law:These T&Cs are subject to the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai.
13.2. Dispute Resolution: Failing an amicable resolution within 30 days, any dispute will be submitted to the exclusive jurisdiction of the Dubai Courts.
Safeguard Clause (Debt Collection):The Operator (E-NOVAI GROUP SARL) reserves the discretionary right to pursue the Partner before the courts of its own registered office (Morocco) or the Partner's domicile for any specific debt collection procedure for unpaid invoices.
